Affiliate Agreement for Tralent Online Gaming Services

1. Introduction.

Tralent Online Gaming Services Co. LLC (the “Company”), a limited liability company organized and existing under the laws of Dubai, United Arab Emirates and {{affiliate_legal_name}} (the “Affiliate”), whose wallet number is {{affiliate_wallet_id}}.

WHEREAS, the Company operates an E-sport tournament platform under the license number 1389837, issued by the Ministry of Tourism and Economy of Dubai, and desires to enter into a commercial collaboration with the Affiliate to promote the Company’s services;

WHEREAS, the Affiliate desires to promote the Company’s services in exchange for a commission based on the results obtained;

NOW, THEREFORE, the parties hereby agree to the following terms and conditions governing their relationship.

1.1 Acceptance of the Agreement

By clicking the “Apply Now” button, the Affiliate submits a request to enter into this Agreement with the Company. This request is subject to confirmation by the Company. The Agreement will become valid upon written confirmation by the Company, which will be sent to the Affiliate via email or through the Company's affiliate management system. Upon such confirmation, the Affiliate will be bound by the terms and conditions outlined herein.

1.2 Right to Refuse
The Company reserves the right to refuse the Affiliate’s application for any reason and without obligation to provide an explanation. The application will only be considered valid if explicitly accepted by the Company, and no affiliate relationship will exist until such acceptance occurs.

2. Scope of the Agreement

2.1 Promotional Activities

The Affiliate shall only use promotional materials provided by the Company, or materials pre-approved by the Company in writing. The Affiliate is prohibitedfrom using materials that could harm the reputation of the Company, including but not limited to materials containing false, misleading, or defamatory content.

2.2 Services Promoted
The services subject to the promotion are exclusively focused on E-sport tournament platform services offered by the Company and do not involve any form of gambling or betting.

2.3 Regulatory Compliance
The Affiliate acknowledges and agrees that it is solely responsible for ensuring that all promotional activities comply with the laws, regulations, and advertising standards of the jurisdiction(s) in which the Affiliate operates. This includes, but is not limited to, compliance with regulations regarding advertising, personal data protection, and any other relevant laws, particularly those related to the promotion of E-sport platform services. The Company is not liable for any violations of local laws by the Affiliate.

3. Obligations of the Affiliate

3.1 Promotion and Marketing
The Affiliate shall undertake targeted promotional campaigns to generate qualified traffic to the Company’s website, employing various marketing tools, including:

o Content Marketing: Creation and publication of original content (articles, videos, reviews) related to the Company’s services.

o Social Media Marketing: Promotion on its social profiles and other online platforms.

o Email Marketing: Implementation of personalized email campaigns to promote the Company’s services.

o Display Advertising: Insertion of banner ads and other promotional materials on the Affiliate’s website and other digital channels managed by the Affiliate.

3.2 Compliance and Regulatory Adherence
The Affiliate shall comply with all applicable laws and regulations related to advertising, personal data protection, and unfair competition in their local jurisdiction. The Affiliate must also adhere to the ethical guidelines and compliance policies established by the Company. Any violation of these obligations may result in the immediate termination of the Agreement and the imposition of penalties, as described in Article 5.

4. Obligations of the Company

4.1 Provision of Promotional Materials
The Company shall provide the Affiliate with all necessary promotional materials, including banners, texts, images, and videos, ensuring their exclusive use within the scope of this Agreement. The Company reserves the right to update or modify such materials at any time.

4.2 Performance Tracking
The Company shall provide the Affiliate with a tracking platform that will enable it to monitor conversions generated by promotional campaigns and calculate the commissions due. The tracking data shall be considered conclusive for the purpose of calculating commissions.

4.3 Payment of Commissions
The Company shall pay the Affiliate a commission equal to [percentage]% of the net revenue generated by new customers acquired through the Affiliate’s affiliate links or code. This commission will be a percentage of Tralent's 17% commission on the transactions generated by the Affiliate’s Direct Clients. Payments shall be made on the first of each month for the commissions earned during the previous month, and the earnings will be available in the Affiliate’s wallet.

The payment will be made in USDT via the TRON network. Therefore, the Affiliate is required to provide their TRON wallet address at the time of withdrawal request in order to receive the payment.

A withdrawal fee of 3.5 USDT will be applied and deducted from the Affiliate’s balance at the time of the withdrawal request, just like any other withdrawal made by the Affiliate, as the wallet used is the same for both commissions and personal withdrawals.

The payment will be made in USDT via the TRON network. Therefore, the Affiliate is required to provide their TRON wallet address at the time of withdrawal request in order to receive the payment.

5. Duration, Termination, and Penalties

5.1 Duration of the Agreement
This Agreement shall have an initial duration of [period] commencing from the date of signing. Upon expiration, the Agreement shall be deemed tacitly renewed for successive periods of equal duration unless either party terminates it in writing with at least [0] days’ notice.

5.2 Early Termination
The Company reserves the right to terminate the Agreement with immediate effect in the event of a serious violation of the Affiliate’s obligations, such as non-compliance with applicable laws, failure to comply with marketing guidelines, or conduct that damages the Company’s image.

5.3 Penalties for Breach

In the event of a breach of contractual obligations by the Affiliate, such as unauthorized use of promotional materials, failure to comply with advertising regulations, or any actions that damage the Company's reputation, the Company may terminate the Agreement immediately. In such cases, the Agreement will be considered terminated and closed with immediate effect. The Affiliate will only be entitled to withdraw the commissions earned up to that point, with no further compensation.

6. Miscellaneous Provisions

6.1 Intellectual Property
All intellectual property rights related to the promotional materials provided by the Company shall remain the exclusive property of the Company. The Affiliate shall not modify, adapt, or exploit such materials outside the purposes provided for in this Agreement without the written consent of the Company.

6.2 Independence of the Parties
The Affiliate operates as an independent contractor. Nothing in this Agreement shall be construed as creating a subordinate employment relationship, agency, partnership, or joint venture between the parties.

6.3 Confidentiality
The parties undertake to maintain confidential all confidential information acquired during the performance of this Agreement. This obligation shall remain in force even after the termination of the Agreement.

6.4 Limitation of Liability
The parties shall not be liable for any indirect, consequential, or incidental damages arising from the performance of this Agreement, except in cases of willful misconduct or gross negligence.

6.5 Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the United Arab Emirates. For any dispute relating to the interpretation or performance of this Agreement, the parties agree to submit to the exclusive jurisdiction of the courts of Dubai.

7. Affiliation Program

7.1 Commission Structure for the Affiliate on Direct Clients
We have structured the following affiliate scheme:

a. Commissions for Affiliate

i. Transactions up to $15,000: 5%

ii. Transactions from $15,000.01 to $40,000: 7%

iii. Transactions over $40,000.01: 8%

7.2 Commission Structure for Sub-Affiliates
b. Commissions for Sub-Affiliates
The sub-affiliate introduced by the affiliate will receive the same percentages as indicated above. Additionally, the affiliate who introduced the sub-affiliate will be granted the following remuneration for each subscription made by the sub-affiliate's direct clients :

i. Transactions up to $15,000: 2%

ii. Transactions from $15,000.01 to $40,001: 2.5%

iii. Transactions over $40,000.01: 4%

7.3 Additional Note

The volumes generated by individual sub-affiliates are CUMULATIVE. The remuneration tiers for the 1st level Affiliate are directly linked to the sum of sub-affiliate volumes.

Example:
c. Sub-affiliate 1: generated a monthly transaction volume of $10k -> the 1stlevel Affiliate will be remunerated at 5%.
d. Sub-affiliate 2: generated a monthly transaction volume of $21k -> the 1st level Affiliate will be remunerated at 7% based on the combined volume of $10k from sub-affiliate 1 and $21k from sub-affiliate 2, totaling $31k. Falling within the second tier (Tier 2), given that the total is 31k, the applicable rate will therefore be 2.5%.
